Who these terms are with

The MicroSchool Lab is a Virginia-registered DBA of Create Business Solutions, LLC, a Virginia limited liability company. Create Business Solutions, LLC provides the service and is the contracting party. In these terms, "MicroSchool Lab," "we," "us," and "our" mean Create Business Solutions, LLC doing business as The MicroSchool Lab. "You" means the person or organization accepting these terms.

Agreement and customer acceptance

You accept these terms by creating an account, clicking an acceptance control, signing an order or statement of work, or using the service after receiving notice of these terms. If you use the service for an organization, you represent that you have authority to bind it.

Agreed scope and statements of work

The standard subscription includes the features described for your selected plan. Any order form, proposal, or statement of work ("SOW") defines the agreed services, fees, deliverables, responsibilities, schedule, and acceptance criteria for additional implementation, migration, configuration, or other project work. Only items expressly listed are included. If an SOW conflicts with these terms, the SOW controls for that engagement.

Project phases, milestones, and signoff

An SOW may divide work into phases or milestones. You must review a submitted deliverable within the stated review period, or within ten (10) business days if none is stated, and either accept it or identify specific material failures to meet the written acceptance criteria. A deliverable is accepted when you approve it in writing, use it in production, or do not reject it within that period.

Change control

Either party may request a change to project scope. A change is effective only when both parties approve a written change order describing the revised work, fees, responsibilities, and schedule. MicroSchool Lab need not begin changed or additional work before approval.

Governing law

These Terms of Service are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws principles.

Venue

Subject to the arbitration requirements in these terms, the exclusive venue for any court proceeding is the state or federal courts located in Richmond, Virginia.

Arbitration

You and MicroSchool Lab agree that any dispute, claim, or controversy arising out of or relating to the service or these terms will be resolved by mandatory binding arbitration. Arbitration will be administered by JAMS or AAA, at the claimant's selection, under the applicable consumer-arbitration rules. The seat of arbitration is Richmond, Virginia. You and MicroSchool Lab waive any right to a jury trial and waive any right to bring or participate in a class action, class arbitration, or representative action. Before filing arbitration, the complaining party must provide written notice of dispute and allow a 30-day period for a good-faith attempt to resolve the matter.

Limitation of liability

To the maximum extent permitted by law, MicroSchool Lab's aggregate liability to you under these terms is limited to the fees actually paid by you to MicroSchool Lab in the 12 months preceding the event giving rise to the claim. MicroSchool Lab is not liable for consequential, indirect, incidental, special, exemplary, or punitive damages, or for lost profits, lost data, lost business opportunity, or substitute service costs, under any legal or equitable theory, whether in contract, tort, statute, or otherwise.

Disclaimer of warranties

The service is provided "AS IS" and "AS AVAILABLE," with all faults and without warranty of any kind. To the maximum extent permitted by law, MicroSchool Lab disclaims all warranties, express, implied, or statutory, including without limitation implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, and any warranty arising from course of dealing or usage of trade. MicroSchool Lab does not warrant that the service will be uninterrupted, timely, error-free, or secure; that defects will be corrected; that the service is free of viruses or other harmful components; or that any AI-generated outputs, recommendations, financial projections, or planning documents will be accurate, complete, suitable for any particular purpose, or compliant with applicable law in your jurisdiction. Any reliance on the service or its outputs is at your sole risk.

Force majeure

Neither party is liable for any failure or delay in performance under these terms caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, fires, floods, severe weather, war, terrorism, civil unrest, government action, labor disputes, internet, network, or telecommunications failures, third-party service outages (including without limitation outages of cloud-infrastructure providers, payment processors, transactional-email providers, AI-model providers, or hosting platforms relied upon by the service), pandemics, or epidemics. The affected party shall use commercially reasonable efforts to resume performance as soon as practicable. If a force-majeure event continues for more than thirty (30) consecutive days, either party may terminate these terms upon written notice without further liability.

Ownership and license

Customer Data. As between you and MicroSchool Lab, you own all data, content, and information that you or your authorized users submit to or generate through the service ("Customer Data"). You grant MicroSchool Lab a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, modify (as necessary to provide the service), and process Customer Data solely for the purpose of operating, maintaining, supporting, troubleshooting, securing, and improving the service for you and other customers. This license terminates when Customer Data is deleted in accordance with our Privacy Policy.

Service and Outputs. MicroSchool Lab and its licensors own all right, title, and interest in and to the service, including the software, infrastructure, AI prompts, model configurations, designs, documentation, trademarks, and any improvements, derivative works, or feedback related thereto. Subject to your compliance with these terms, MicroSchool Lab grants you a limited, non-exclusive, non-transferable, revocable license to access and use the service during your subscription. AI-generated planning documents, financial projections, and similar outputs derived from your inputs are licensed to you for your use in operating your microschool; MicroSchool Lab does not assert ownership of the specific outputs generated for you.

Aggregated and de-identified data. MicroSchool Lab may collect, use, and disclose aggregated, anonymized, or de-identified data derived from Customer Data (data that does not identify you or any individual) for any lawful business purpose, including service improvement, benchmarking, security research, and product analytics. Aggregated data does not include personally identifiable information.

Feedback. If you provide MicroSchool Lab with suggestions, feedback, or ideas regarding the service, you grant MicroSchool Lab a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback into the service without obligation or compensation to you.

Confidentiality

Definition. "Confidential Information" means any non-public information disclosed by one party (the "Discloser") to the other (the "Recipient") under or in connection with these terms that is identified as confidential at the time of disclosure or that, given the nature of the information and circumstances of disclosure, a reasonable person would understand to be confidential. Confidential Information includes Customer Data, business plans, financial information, customer and prospect lists, technical and operational data, security practices, pricing, and the terms of any custom agreement between the parties.

Obligations. Each Recipient shall (a) use Confidential Information only for purposes of performing under these terms, (b) protect Confidential Information using at least the same degree of care it uses to protect its own confidential information of similar importance, but in no event less than reasonable care, and (c) not disclose Confidential Information to any third party except to its employees, contractors, and subprocessors who have a need to know and are bound by confidentiality obligations no less protective than those in this section.

Exclusions. Confidential Information does not include information that (a) is or becomes publicly available through no fault of the Recipient, (b) was rightfully known to the Recipient before disclosure, (c) is rightfully obtained by the Recipient from a third party without restriction, or (d) is independently developed by the Recipient without use of or reference to the Discloser's Confidential Information.

Compelled disclosure. A Recipient may disclose Confidential Information if required by law, regulation, or court order, provided that, where legally permitted, the Recipient gives the Discloser prompt written notice of the requirement and a reasonable opportunity to seek a protective order or other appropriate remedy.

Survival. This section survives termination of these terms for so long as the Confidential Information remains confidential.

User indemnification

You will indemnify, defend, and hold harmless MicroSchool Lab and its officers, directors, employees, and agents from and against any third-party claim, demand, action, loss, liability, damage, judgment, settlement, penalty, fine, cost, or expense (including reasonable legal defense costs) arising from or relating to: (a) your operation of a microschool, (b) your use of outputs from the service, or (c) your breach of these terms.

Not advice

The service and all outputs are not legal, financial, tax, or educational advice. You are solely responsible for independently verifying applicable requirements before relying on or acting on any output.

Third-party services and assumption of liability

Third-party products and integrations remain governed by their own terms. MicroSchool Lab does not assume another person's duties, debts, promises, or liability unless an authorized representative of Create Business Solutions, LLC expressly agrees in a signed writing.

Exclusive remedy

For a substantiated failure to provide the paid service materially as agreed, your exclusive remedy is, at MicroSchool Lab's option, correction or re-performance of the affected service, or a prorated refund of fees paid for the affected period or deliverable. This remedy is subject to applicable law, the 30-day money-back guarantee below, and the limitation-of-liability section above.

Charter pricing lock

Charter members subscribed at $19/month (Plan) or $39/month (Operate) keep that charter price for the lifetime of their continuous subscription. If you cancel, the charter pricing lock ends. Any reactivation or new subscription is billed at then-current standard pricing.

Early adopter pricing lock

Early adopter members who begin a qualifying founder subscription on or before August 31, 2026 and are subscribed at $39/month keep that price for the lifetime of their continuous subscription. If you cancel, the early adopter pricing lock ends. Any reactivation or new subscription is billed at then-current standard pricing. Members who locked early adopter pricing under the prior first-100-subscriptions limit keep that lock on the same terms.

Acceptable use

You may not use the service for illegal activity, scraping, reverse engineering, misrepresentation of affiliation, or automated bulk account creation.

Refunds and cancellation

Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the then-current billing period; you retain access through the end of that period.

30-day money-back guarantee. If you are within thirty (30) days of your first paid subscription charge for a MicroSchool Lab plan, you may request a full refund of that charge by emailing support@themicroschoollab.com. This refund is not discretionary: MicroSchool Lab will honor a timely request without requiring a reason. The guarantee applies once per organization and covers the first charge only; subsequent charges are governed by the paragraph below. This guarantee applies only to subscriptions whose first paid charge occurs on or after August 23, 2026, the effective date of Version 1.5. A subscription first charged before that date remains governed by the refund terms in effect when it began, which are set out under "Other refunds" below; accepting Version 1.5 does not extend this guarantee to it.

Other refunds. Apart from the guarantee above, subscription fees are generally non-refundable. MicroSchool Lab may, at its sole discretion, issue prorated or full refunds in cases of: (a) duplicate charges or billing errors, (b) inability of MicroSchool Lab to provide the service for an extended period not attributable to your action or inaction or to a force-majeure event, or (c) other circumstances MicroSchool Lab determines warrant a refund. To request a refund, contact support@themicroschoollab.com within thirty (30) days of the charge in question.

AI credits and usage allowances. AI credits, generation allowances, or other consumable usage units associated with your subscription do not roll over between billing periods, expire upon cancellation, and are not refundable in cash or credit upon cancellation.

Chargebacks. If you initiate a payment dispute or chargeback with your card issuer or bank without first contacting MicroSchool Lab to attempt resolution, MicroSchool Lab may suspend or terminate your account and pursue collection of any disputed amounts.

Termination

MicroSchool Lab may terminate or suspend access for a material breach after providing 7 days' notice and an opportunity to cure where cure is possible. You may cancel your subscription at any time through account settings.

School customer terms

If you create or operate an account on behalf of a school, microschool, learning center, homeschool co-op, or other educational organization (a "School Customer"), additional terms apply. By using the service in this capacity, you represent and warrant that:

(a) Authority. You have full legal authority to bind the School Customer to these terms.

(b) Parental consent. With respect to any personal information of students under the age of thirteen (13) that you or your authorized users submit to the service (including but not limited to student names, contact information, photographs, health information, dietary restrictions, allergies, medications, emergency contacts, academic records, and assignments), you have obtained verifiable parental consent or, where applicable, are exercising the school-consent exception under the Children's Online Privacy Protection Act ("COPPA") and its implementing regulations at 16 C.F.R. Part 312, including the school-consent exception. You authorize MicroSchool Lab, acting on the School Customer's behalf, to collect and process such personal information solely for the use and benefit of the school and not for any commercial purpose unrelated to providing the service.

(c) FERPA. If the Family Educational Rights and Privacy Act ("FERPA") applies to your organization, you are responsible for FERPA compliance with respect to the records you upload to the service. MicroSchool Lab will treat any FERPA-protected records as Confidential Information and will not redisclose them except as directed by you or as required by law.

(d) State student data privacy laws. You are responsible for compliance with any applicable state and federal student data privacy laws.

(e) Health information. Health information you upload regarding students (including allergies, dietary restrictions, and medications) is provided for the school's operational use (e.g., emergency response, meal planning, classroom safety). MicroSchool Lab is not a HIPAA covered entity or business associate and does not provide health-care services. You are responsible for any consents or notices required from students or their parents under applicable law before uploading health information.

(f) Indemnification. In addition to the indemnification obligations elsewhere in these terms, you will indemnify, defend, and hold harmless MicroSchool Lab and its officers, directors, employees, and agents from and against any third-party claim arising from your failure to obtain required consents or to comply with applicable student-data-privacy or health-privacy law.

Changes to these terms

MicroSchool Lab may update these terms. For material changes, MicroSchool Lab will provide at least 30 days' notice. Continued use of the service after the notice period constitutes acceptance of the updated terms.

Severability

If any provision of these terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

Entire agreement

These terms constitute the entire agreement between you and MicroSchool Lab regarding the service and supersede all prior or contemporaneous understandings relating to the service.

Assignment

You may not assign or transfer these terms without MicroSchool Lab's prior written consent. MicroSchool Lab may assign these terms without restriction in connection with a merger, acquisition, corporate reorganization, or sale of assets.
